Terms of Service

These Terms of Service ("Terms") govern your access to dataforge.life (the "Site") and the general framework for professional services provided by Data Forge Inc. ("Data Forge," "we," "us," "our"). By using the Site or engaging our services, you agree to these Terms. Specific client engagements are also governed by signed statements of work, master services agreements and Data Processing Agreements where applicable. If a signed contract conflicts with these Terms, the signed contract prevails for that engagement.

1. Organization

Data Forge Inc. is a Canadian corporation headquartered at 980 Howe Street, Suite 900, Vancouver, BC V6Z 0C8, Canada (Business Number 82640 1975 RC0001). We provide data engineering, analytics and AI-ready data systems for client organizations.

2. Nature of services — what Data Forge is and is not

Data Forge is a data-engineering and applied-AI studio. We design and build data pipelines, warehouse models, analytics dashboards, retrieval foundations and related DataOps systems for client organizations under contract. "Forge" refers to the craft of engineering reliable data infrastructure — not cryptocurrency mining, metalworking as a consumer product, or sale of third-party datasets.

The domain dataforge.life uses ".life" as branding only. Data Forge is not a lifestyle application, wellness tracker, meditation service, quantified-self platform or "data about your life" consumer product.

Data Forge is not a data broker or data marketplace. We do not buy, sell, licence or broker personal information datasets. We engineer data that belongs to or is licensed by our clients.

Data Forge is not an AI course, bootcamp, training academy, passive-income scheme, AI trading bot, cryptocurrency platform or self-serve software product you subscribe to independently of a services engagement.

3. AI and results disclaimer

Our studio designs, builds and integrates artificial-intelligence and data systems for client organizations, including machine learning foundations, generative AI data layers, retrieval-augmented generation (RAG) indexes, data engineering and analytics. Data pipelines, models and dashboards produce outputs that can be incomplete, delayed, drifted or wrong. We do not guarantee any specific accuracy, performance, uptime, cost saving, revenue or business outcome.

Results depend on data quality, project scope, infrastructure, third-party platform behaviour and factors outside our control. Every deployment is designed to keep a qualified human in the loop for high-stakes decisions. Any metrics, case studies or figures on the Site reflect past project work and are illustrative — not promises of future performance.

Our services constitute professional technology consulting — not legal, medical, financial or investment advice, and not a product that trades, invests or earns money on your behalf.

4. Site use

You may use the Site for lawful purposes in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable law in Canada or your jurisdiction
  • Attempt unauthorized access to our systems, networks or client areas
  • Transmit malware, spam or automated scraping that degrades Site performance
  • Misrepresent your affiliation with Data Forge or impersonate our personnel
  • Use contact forms for purposes unrelated to legitimate business enquiries

We may suspend or restrict access to protect the Site, our users or our infrastructure.

5. Enquiries and no professional relationship

Submitting a contact form or receiving a reply does not create a client relationship, obligation to perform work or binding quote. A professional engagement begins only when both parties sign a statement of work or master services agreement. Information on the Site is general in nature and may change without notice.

6. Fees and payment

Indicative CAD ranges published on the Site are non-binding estimates. Binding fees, milestones and payment schedules are set out in signed contracts. Unless otherwise agreed, invoices are due within thirty days. Late payments may incur interest at the rate permitted by BC law. We may suspend work on overdue accounts after written notice.

7. Intellectual property

Site content — text, design, logos and layout — is owned by Data Forge Inc. or our licensors and protected by copyright and trademark law. You may not reproduce, distribute or create derivative works without written permission.

For client engagements: custom deliverables specified in the contract transfer to the client upon final payment, subject to our retention of general know-how, pre-existing tools and non-client-specific libraries. Third-party platform components remain subject to vendor licences.

8. Confidentiality

We treat client non-public information as confidential under our agreements. You agree not to disclose our confidential proposals, pricing or proprietary methodologies without consent. Public case studies on the Site use anonymised illustrations unless a client has authorised named reference.

9. Client responsibilities

Successful delivery requires reasonable client cooperation, including timely access to systems, subject-matter experts, decision-makers and accurate disclosure of data quality issues. Delays caused by unavailable stakeholders or undisclosed technical debt may affect timelines and cost. Clients are responsible for internal change management, staff adoption and regulatory compliance in their own industry.

10. Warranties and disclaimer

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We warrant that services will be performed with reasonable skill and care consistent with industry standards for data engineering professionals. We do not warrant uninterrupted Site availability, error-free code in all circumstances, or specific business outcomes from data pipelines, analytics or AI-ready layers.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATA FORGE INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM USE OF THE SITE OR SERVICES — EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM A SPECIFIC ENGAGEMENT SHALL NOT EXCEED THE FEES PAID BY THE CLIENT FOR THAT ENGAGEMENT IN THE TWELVE MONTHS PRECEDING THE CLAIM, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW (INCLUDING FRAUD OR WILLFUL MISCONDUCT).

12. Indemnification

You agree to indemnify and hold harmless Data Forge Inc. from claims arising from your misuse of the Site, violation of these Terms, or infringement of third-party rights through data or materials you provide — except to the extent caused by our gross negligence or willful misconduct.

13. Privacy

Our collection and use of personal information is described in the Privacy Policy. By using the Site you acknowledge that policy. Contact form submissions require express PIPEDA consent.

14. Third-party services and links

The Site may reference or link to third-party platforms, tools or websites. We are not responsible for their content, availability or privacy practices. Client engagements may integrate third-party cloud services subject to those vendors' terms.

15. Termination

We may terminate or suspend Site access for conduct that violates these Terms. Client contracts include separate termination and notice provisions. Upon termination, sections that by nature should survive (intellectual property, confidentiality, limitation of liability, governing law) remain in effect.

16. Governing law and jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in British Columbia for disputes arising from these Terms or Site use, subject to any different venue specified in a signed client contract.

17. Dispute resolution

Before initiating formal proceedings, parties agree to attempt good-faith resolution by contacting [email protected] with a written description of the dispute. Client contracts may specify additional escalation or mediation steps.

18. Changes

We may update these Terms by posting a revised version with a new "Last updated" date. Material changes will be noted on the Site. Continued use after changes constitutes acceptance where permitted by law.

19. Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.
